Item 8.01  Other Events.
As previously disclosed, on April 5, 2019, Aquabounty Technologies, Inc. (the “Company”) filed with the Securities and Exchange Commission a prospectus supplement (the “Prospectus Supplement”) to its shelf registration statement dated April 6, 2018, as amended, on Form S-3 (File No. 333-224184) (the “Registration Statement”) relating to the underwritten public





offering of 2,554,590 shares of common stock of the Company at a public offering price of $2.25 per share (the “Offering”). An opinion of the Company’s counsel, Goodwin Procter LLP, regarding the legality of the shares of common stock covered by the Prospectus Supplement described above is filed as Exhibit 5.1 hereto and is incorporated herein by reference and into the Registration Statement and Prospectus Supplement.
On April 9, 2019, the Company issued a press release announcing the closing of the Offering. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.

We have acted as counsel to you in connection with your filing of a Registration Statement on Form S-3 (File No. 333-224184) (as amended or supplemented, the “Registration Statement”) filed on April 6, 2018 with the Securities and Exchange Commission (the “Commission”) pursuant to the Securities Act of 1933, as amended (the “Securities Act”), as amended on April 23, 2018, relating to the registration of the offer by AquaBounty Technologies, Inc., a Delaware corporation (the “Company”) of up to $100,000,000 of any combination of securities of the types specified therein. The Shares are being sold to the several underwriters named in, and pursuant to, an underwriting agreement among the Company and such underwriters (the “Underwriting Agreement”).

We have reviewed such documents and made such examination of law as we have deemed appropriate to give the opinion set forth below. We have relied, without independent verification, on certificates of public officials and, as to matters of fact material to the opinion set forth below, on certificates of officers of the Company.

The opinion set forth below is limited to the Delaware General Corporation Law.

Based on the foregoing, we are of the opinion that the Shares have been duly authorized and, upon issuance and delivery against payment therefor in accordance with the terms of the Underwriting Agreement, the Shares will be validly issued, fully paid and non-assessable.

Public Offering of Common Stock
MAYNARD, MASS. - April 9, 2019 - AquaBounty Technologies, Inc. (Nasdaq: AQB) (“AquaBounty” or the “Company”), a biotechnology company focused on enhancing productivity in the aquaculture market and a subsidiary of Intrexon Corporation (Nasdaq: XON), today announces the closing of its previously announced underwritten public offering of 2,554,590 shares of common stock of the Company at a public offering price of $2.25 per share. AquaBounty has also granted the underwriters a 45-day option to purchase up to an additional 383,188 shares of its common stock at the public offering price per share, less underwriting discounts and commissions. The gross proceeds to AquaBounty from the offering are approximately $5.75 million, before deducting underwriting discounts and commissions and offering expenses.
H.C. Wainwright & Co. acted as the sole book-running manager for the offering.
National Securities Corporation, a wholly owned subsidiary of National Holdings Corporation (Nasdaq: NHLD), acted as co-manager for the offering.
The Company currently expects to use the net proceeds of this offering to fully fund working capital costs associated with growing its first batches of fish at our Indiana and Rollo Bay farm sites and other general corporate purposes.
