Item 8.01 Other Events.

As previously reported, on October 31, 2022, AquaBounty Technologies, Inc. (the “Company”) received a notification letter from the Listing Qualifications Department of The Nasdaq Stock Market LLC (“Nasdaq”), notifying the Company that because the closing bid price for its common stock, par value $0.001 per share, had been below $1.00 per share for 30 consecutive business days, it no longer complied with the minimum bid price requirement for continued listing on the Nasdaq Capital Market. Nasdaq Listing Rule 5550(a)(2) requires listed securities to maintain a minimum bid price of $1.00 per share.

On October 30, 2023, the Company received a letter from the Listing Qualifications Department of the Nasdaq, informing the Company that it had regained compliance with the minimum bid price requirement under Nasdaq Listing Rule 5550(a)(2) and that the matter is now closed.
